Terms of Service, Risk Disclaimer & Breach Terms
These terms govern your use of the Webull Trading Bot service provided by CB Capital Management (“we”, “us”). By creating an account, saving brokerage credentials or arming the bot, you accept them in full. This is a draft for review and is not legal advice; have a qualified attorney in your jurisdiction review it before you rely on it.
1What the service is
We licence access to automated software that places option orders in your brokerage account according to a fixed, published rule set: the first 15-minute candle of the regular session defines a range, entries are taken on closed 5-minute bodies as a single one-strike out-of-the-money contract, the sell-to-close rests $0.02 above the fill, and the position is exited once it is 9% below the fill.
We are not a broker-dealer, investment adviser, futures commission merchant or custodian. We do not hold your money, do not have discretionary authority over your account beyond the mechanical rules above, and provide no personalised investment advice. Portfolio management and platform licensing are separate services and are not included here.
2Your account and your keys
You connect the service using API credentials issued to you by your broker. Those credentials are encrypted before storage and are readable only by the automated trading process. They are not displayed in any administrator screen, are not returned by any interface, and are not used for any purpose other than placing and managing orders in your own account under the rules above.
You are responsible for the accuracy of the credentials, for the permissions you grant them, for keeping your account password secure, and for complying with your broker’s own terms. You may revoke the credentials at your broker at any time; doing so stops the service immediately.
3Fees — subscription and profit share
The standard subscription is $500.00 per month, billed in advance and recurring until cancelled. In addition, you agree to a 30% share of each trading day’s net winning trades, calculated from the trades the service closes in your account and charged to the payment method on file after the close of that day’s session.
We may agree different terms with you in writing — a reduced monthly fee, a reduced share of winning trades, or a complimentary account with neither. Any such terms are shown on your billing page and are the terms that apply to you; they are never higher than the standard figures above. A complimentary account is granted at our discretion and may be moved onto standard terms on notice, which you may decline by cancelling.
The profit share is taken on winning trades only. Losing trades are not netted against winners for the purposes of the share, and no rebate or carry-back arises from a losing day. Amounts below the minimum card charge are waived. All fees are exclusive of taxes, which are your responsibility, and are non-refundable once charged.
You may cancel the subscription at any time; cancellation stops future subscription charges and disarms the bot, and does not refund the current period or waive profit share already accrued.
4Control, arming and the kill switch
The bot only trades while you have armed it. You may disarm it or engage the kill switch at any moment; the kill switch blocks every future cycle until you clear it. Positions already open in your account remain yours to manage — stopping the service does not close them, and you should review your brokerage account directly after any stop.
You may switch on an override of the standard rules and set your own symbols and limits. When you do, you take full responsibility and ownership of your override rules and of every trade placed under them. Overrides are your instructions, given at your own risk, and results under them are yours alone.
We may suspend the service for non-payment, suspected fraud, a broker or market outage, or where continuing would breach law or your broker’s rules.
5Risk disclaimer
Trading options involves substantial risk of loss and is not suitable for every investor. You can lose the entire amount paid for an option, and losses may exceed your expectations. Past performance, paper results and backtests do not predict future results.
Automated systems fail. Market data may be delayed, wrong or unavailable; brokers reject, partially fill or delay orders; connectivity, exchange halts, volatility, spreads and slippage can all prevent an intended entry, target or stop from being achieved at, or anywhere near, the intended price. The 9% stop is an instruction to exit, not a guarantee of an exit price. Nothing in the service guarantees profit, and no statement by us should be read as such a guarantee.
You confirm you trade only with capital you can afford to lose, that you have read your broker’s options risk disclosure, and that all trading decisions carried out in your account are made at your own risk.
6Limitation of liability
To the maximum extent permitted by law, we are not liable for trading losses, lost profits, missed opportunities, or indirect, incidental, special, consequential or punitive damages, however caused. Our total aggregate liability arising out of or relating to the service is limited to the fees you paid us in the three months preceding the event giving rise to the claim.
The service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Nothing here excludes liability that cannot be excluded by law, including for fraud.
7Breach terms
You are in breach if you:
(a) fail to pay the subscription or an accrued profit share when due; (b) supply credentials for an account you do not own or are not authorised to trade; (c) attempt to extract, copy, resell, sublicense or reverse-engineer the strategy, software or interfaces; (d) circumvent or attempt to circumvent the fee calculation, including by closing or altering trades to disguise winning days, moving the bot’s activity to an unreported account, or withdrawing the payment method to defeat a charge; (e) share your account access with a third party; or (f) use the service unlawfully or in breach of your broker’s rules.
On breach we may suspend or terminate access immediately and without refund. Unpaid amounts remain due and may accrue interest at the lower of 1.5% per month or the maximum rate permitted by law, together with reasonable costs of collection. Where fees have been evaded, we may audit the affected trading records and invoice the shortfall. Clauses 3, 5, 6, 7 and 8 survive termination.
8General
We may update these terms; material changes take effect on notice to your account email, and continuing to use the service after that constitutes acceptance. If a provision is held unenforceable, the rest remains in force. These terms are the entire agreement between us regarding the service, and are governed by the laws of the jurisdiction in which we are established, with its courts having exclusive jurisdiction.

9Privacy policy
We hold only what the service needs to run: your account email, billing and payment records, the brokerage API credentials you supply, your desk settings, and the trading records the service produces in your account. Credentials are encrypted before storage, are never shown in any screen or returned by any interface, and are used only to place and manage orders under your instructions.
Card details are taken by our payment provider and never reach our systems; we keep only the provider’s customer reference, the last charge outcome and the invoice trail. We do not sell, rent or trade personal information. We share it only with the payment provider, the broker you choose to connect, and where the law or a lawful request requires it.
Records are kept while your account is open, and afterwards only for as long as tax, accounting and anti-fraud obligations require. You may ask at any time for a copy of the data we hold about you, a correction, or deletion of your account and its records; deletion removes your credentials immediately and stops the service. Requests are made from inside your client portal.
